BY-LAWS OF ORADELL LITTLE LEAGUE
 

I. PURPOSE/MISSION STATEMENT
 

ORADELL LITTLE LEAGUE IS A NON-PROFIT ORGANIZATION WHOSE MISSION IS TO "TO PROMOTE, DEVELOP, SUPERVISE, AND VOLUNTARILY ASSIST IN ALL LAWFUL WAYS, THE INTEREST OF THOSE WHO WILL PARTICIPATE IN ORADELL LITTLE LEAGUE BASEBALL AND SOFTBALL." THROUGH PROPER GUIDANCE AND LEADERSHIP, THE ORADELL LITTLE LEAGUE PROGRAM ASSISTS YOUTH IN DEVELOPING THE QUALITIES OF CITIZENSHIP, DISCIPLINE, TEAMWORK AND PHYSICAL WELL-BEING.
 

II. NAME
 

THIS ORGANIZATION SHALL BE KNOWN AS ORADELL LITTLE LEAGUE. THE ORADELL LITTLE LEAGUE IS COMPRISED OF BASEBALL, SOFTBALL, AND CHALLENGER LEAGUES.
 

III. TOWN STRUCTURE
 

ORADELL LITTLE LEAGUE SHALL COORDINATE ITS ACTIVITIES WITH THE ORADELL RECREATION COMMITTEE.
THE PRESIDENT OF ORADELL LITTLE LEAGUE SHALL REPRESENT THE ORGANIZATION ON ALL REQUIRED BOROUGH COMMITTEES. THE PRESIDENT SHALL ALSO COORDINATE AND COOPERATE WITH THE VARIOUS OTHER BOROUGH RECREATION PROGRAMS INCLUDING BUT NOT LIMITED TO ALL RECREATION AND TRAVEL PROGRAMS.

 

IV. MEMBERSHIP/PARTICIPATION
 

THE ORADELL LITTLE LEAGUE PROGRAM SHALL CONSIST OF CHILDREN, VOLUNTEERS AND UNDER SPECIAL CIRCUMSTANCES OUTSIDE COACHES AS APPROVED BY VOTING COMMITTEE MEMBERS. UNLESS OTHERWISE APPROVED BY THE VOTING COMMITTEE MEMBERS, AN INDIVIDUAL’S PARTICIPATION IN ORADELL LITTLE LEAGUE ACTIVITIES, SHALL REQUIRE RESIDENCY WITHIN THE BOROUGH OF ORADELL. ALL MEMBERS AND PARTICIPANTS IN THE ORADELL LITTLE LEAGUE PROGRAM SHALL COMPLY WITH THE BOROUGH OF ORADELL’S PARENTS CODE OF CONDUCT AND ALL APPLICABLE COACHES CODE OF CONDUCT. ALL COACHES IN THE ORADELL LITTLE LEAGUE PROGRAM SHALL POSSESS A SAFETY COURSE CERTIFICATION WHICH SHALL CONSIST OF A RUTGER’S SAFETY CERTIFICATION AND THE BOROUGH’S LITTLE LEAGUE LIABILITY COURSE. ALL COACHES AND COMMITTEE MEMBERS SHALL BE REQUIRED TO COMPLY WITH THE SECURITY BACKGROUND CHECK AS DEFINED BY THE BOROUGH OF ORADELL, UNLESS A WAIVER IS OBTAINED FOR THAT INDIVIDUAL FROM THE MAYOR AND COUNCIL. ADDITIONALLY, THEY SHALL EXECUTE AND ABIDE BY THE COACHES CODE OF CONDUCT.
 

V. ORGANIZATION STRUCTURE
 

THE ORGANIZATION OF ORADELL LITTLE LEAGUE SHALL CONSIST OF THE FOLLOWING: AN EXECUTIVE COMMITTEE; A BASEBALL COMMITTEE; A SOFTBALL COMMITTEE AND VARIOUS COORDINATORS. JOB TITLES AND FUNCTIONS SHALL BE OUTLINED IN THE ORADELL LITTLE LEAGUE OPERATING MANUAL AND SHALL INCLUDE THE FOLLOWING:

VI. OFFICERS AND THEIR ELECTION
 

VOTING MEMBERS SHALL CONSIST OF THE MEMBERS OF THE EXECUTIVE COMMITTEE, BASEBALL COMMITTEE AND SOFTBALL COMMITTEE. COORDINATORS SHALL BE NON-VOTING POSITIONS. VOTING MEMBERS SHALL HOLD THEIR POSITIONS FOR A TWO (2) YEAR TERM. THE TERM COMMENCES AT THE FIRST MEETING IN OCTOBER AND TERMINATES ON THE FIRST OCTOBER MEETING AT THE RESPECTIVE TERM’S EXPIRATION. NON-VOTING COORDINATORS SHALL HOLD THEIR POSITONS FOR A ONE (1) YEAR TERM. THE TERM COMMENCES AT THE FIRST MEETING IN OCTOBER AND TERMINATES ON THE FIRST OCTOBER MEETING AT THE RESPECTIVE TERM’S EXPIRATION.
 

NOMINATIONS FOR COMMITTEE POSITIONS AND COORDINATOR POSITIONS SHALL BE FROM THE GENERAL MEMBERSHIP AND SHALL BE IN WRITING AND ACCEPTED BY THE PRESIDENT ON OR BEFORE SEPTEMBER
15TH OF THE RESPECTIVE YEAR. THE PRESIDENT WILL PRESENT A SLATE OF COMMITTEE MEMBERS AND
COORDINATORS AT AN ANNUAL MEETING IN SEPTEMBER OF THE RESPECTIVE YEAR.

 

ANYONE INTERESTED IN A POSITION SHOULD ADVISE THE PRESIDENT OF HIS OR HER INTEREST IN WRITING AT THEIR EARLIEST CONVENIENCE. IF A COMMITTEE MEMBER OR COORDINATOR CANNOT COMPLETE THEIR ASSIGNMENT, THE PRESIDENT SHALL NOMINATE A REPLACEMENT AT THE NEXT REGULAR MEETING. APPROVAL WILL REQUIRE A MAJORITY VOTE OF THE COMMITTEE MEMBERS. THE REPLACEMENT WILL OCCUPY THE POSITION FOR THE REMAINDER OF THE TERM.


VII. VOTING


VOTING COMMITTEE MEMBERS MUST BE PRESENT AT 75% OF ALL MEETINGS IN A TWELVE (12) MONTH PERIOD TO HAVE THE RIGHT TO VOTE. ATTENDANCE AT LESS TAHN 75% OF ALL ANNUAL MEETINGS WILL RESULT IN A FORFEITURE OF THEIR VOTING RIGHT FOR THE BALANCE OF THEIR TERM. THE BOARD SECRETARY WILL TRACK ATTENDANCE
RECORDS.

 

EACH VOTING COMMITTEE MEMBER HOLDING MORE THAN ONE POSITION SHALL ONLY BE ENTITLED TO ONLY ONE (1) VOTE. A MOTION MAY BE INTRODUCED AT ANY MEETING AND MUST BE SECONDED. THE PRESIDENT SHALL RECOGNIZE A MOTION AND CONDUCT THE VOTE. MOTIONS CONCERNING ORGANIZATIONAL ACTIVITY (EXCEPT
AMENDMENTS TO THESE BY-LAWS AND CAPITAL EXPENDITURES IN EXCESS OF $2,000.00) SHALL REQUIRE A SIMPLE MAJORITY VOTE OF THE VOTING COMMITTEE MEMBERS PRESENT.

 

IN ORDER TO BE CONSIDERED AT THE NEXT SCHEDULED MEETING, MOTIONS REGARDING ANY AMENDMENTS TO THESE BYLAWS MUST BE PRESENTED IN WRITING AND IN ADVANCE OF THE MEETING TO THOSE COMMITTEE MEMBERS ENTITLED TO VOTE.


ALL VOTING COMMITTEE MEMBERS SHALL BE PERMITTED TO VOTE ON ANY AND ALL AMENDMENTS TO THESE BY-LAWS AND/OR CAPITAL EXPENDITURES IN EXCESS OF $2000.00. A QUORUM SHALL CONSIST OF TWO THIRDS OF THE CUMULATIVE NUMBER OF COMMITTEE MEMBERS IN ORDER TO PERMIT A VOTE ON AN AMENDMENT TO THESE BY-LAWS AND/OR CAPITAL EXPENDITURES IN EXCESS OF $2,000.00. AT SUCH TIME, A SIMPLE MAJORITY OF THE VOTES
CAST WOULD BE NECESSARY FOR THE VOTE TO PASS.

 

VIII. RULES OF ORDER
 

MEETINGS WILL BE CONDUCTED USING PARLIAMENTARY PROCEDURES AND ROBERTS RULES OF ORDER AND IN ACCORDANCE WITH THE GUIDELINES SET FORTH IN THIS DOCUMENT.
 

IX. FINANCIAL POLICY
 

ALL FUNDS SHALL BE DEPOSITED INTO AN ORADELL LITTLE LEAGUE BANK ACCOUNT INSURED WITH A BANKING INSTITUTION. TWO SIGNATURES SHALL BE REQUIRED ON ALL CHECKS OR DISBURSEMENTS. AUTHORIZED PERSONS WHO WILL BE PERMITTED TO SIGN CHECKS OR DISBURSEMENTS SHALL BE ANY TWO OF THE FOLLOWING MEMBERS OF THE EXECUTIVE COMMITTEE: PRESIDENT, TREASURER OR REGISTRAR.
 

X. MANAGERS
 

RECREATION AND TRAVEL MANAGERS SHALL BE SELECTED BY A COMMITTEE CONSISTING OF THE PRESIDENT, THE VICE PRESIDENT OF THE RESPECTIVE LEAGUE, THE COMMISSIONER OF THE RESPECTIVE LEAGUE, AND THE PLAYER AGENT OF THE RESPECTIVE LEAGUE.
 

XI. LEAGUE RULES

 

THE OFFICIAL PLAYING RULES AND RULES FOR EACH LEAGUE ARE AS PUBLISHED BY LITTLE LEAGUE BASEBALL, INC., WILLIAMSPORT, PA AND SHALL BE BINDING ON THIS LEAGUE. EACH LEAGUE MUST MAINTAIN A SUBSET OF THESE RULES AS IT PERTAINS TO EACH LEAGUE. RULES MUST BE DISTRIBUTED TO MANAGERS AND COACHES PRIOR TO START OF THE SEASON.
 

XII. COMMITTEES
 

THE PRESIDENT SHALL HAVE THE ABILITY TO CREATE COMMITTEES, APPOINT COMMITTEE CHAIRPERSONS AND COMMITTEE MEMBERS. THE PURPOSES AND RESPONSIBILITIES OF EACH COMMITTEE SHALL BE PRESENTED AND APPROVED BY VOTING MEMBERS AT ANY MEETING. ALL COMMITTEES SHALL REPORT TO THE PRESIDENT.
 

XIII. TRAVEL PROGRAMS

 

THE SUMMER TRAVEL PROGRAMS SHALL REQUIRE A PLAYER’S PARTICIPATION IN THE REGULAR RECREATION PROGRAM ONLY. THE SUMMER TRAVEL PROGRAM IS PRESENTED AS A SUPPLEMENT TO THE RECREATION PROGRAM.
THE SUMMER TRAVEL PROGRAM IS A LIMITED PROGRAM TO THOSE PLAYERS WHO PLAYED REC, AND THEREFORE PARTICIPATION IS NOT GUARANTEED AND IS SUBJECT TO TRYOUTS.

 

A PLAYER CAN TRYOUT FOR ONLY ONE SUMMER TRAVEL TEAM AS LONG AS THEY ARE A MEMBER OF THE RECREATION PROGRAM. TRAVEL GUIDELINES MUST BE ISSUED TO ALL PARENTS PRIOR TO THE START OF THE SUMMER TRAVEL SEASON.

 

SPRING AND FALL TRAVEL PROGRAMS DO NOT REQUIRE A TRYOUT. WHENEVER POSSIBLE, MANAGERS MUST TAKE ALL INTERESTED PARTICIPANTS.
 

XIV. INSURANCE
 

THE ORADELL LITTLE LEAGUE’S LIABILITY INSURANCE IS COVERED THROUGH THE BOROUGH OF ORADELL'S LIABILITY POLICY. DIRECTORS AND OFFICERS INSURANCE IS COVERED BY LITTLE LEAGUE BASEBALL, INC. (WILLIAMSPORT).
 

XV. INDEMNIFICATION

 

ORADELL LITTLE LEAGUE SHALL INDEMNIFY AND HOLD HARMLESS ALL ELECTED COMMITTEE MEMBERS AND COORDINATORS FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, SUITS AND JUDGMENTS
INCLUDING REASONABLE ATTORNEY'S FEES AND COSTS WHILE ACTING IN THEIR OFFICIAL CAPACITY AND WITHIN THE SCOPE OF THEIR AUTHORITY.

 

XVI. REGISTRATION
 

THE REGISTRATION FORM SHALL OUTLINE THE HOLD HARMLESS POLICY AND FEE STRUCTURE.
THE REGISTRATION FORM WILL ALSO ALLOW A PARENT/GUARDIAN TO INDICATE WHETHER OR NOT THEIR CHILD IS INTERESTED IN PARTICIPATING IN THE SUMMER TRAVEL PROGRAM. THE REGISTRATION FORM WILL REQUIRE PARENT/GUARDIAN SIGNATURE FOR THE FOLLOWING RELEASES IN ORDER FOR THE CHILD TO PARTICIPATE IN THE PROGRAM:


LIABILITY RELEASE
MEDICAL RELEASE


WHEN APPLICABLE, PARENTS/GUARDIANS AND COACHES WILL SIGN CODE OF CONDUCT FORMS.
REGISTRATION FEES SHALL BE REVIEWED ANNUALLY BY MOTION AND APPROVED BY THE COMMITTEE MEMBERS.

 

XVII. GUIDELINES
 

THE ORGANIZATION SHALL ABIDE BY THE BOROUGH OF ORADELL’S GUIDELINES FOR YOUTH ATHLETIC PROGRAMS PREPARED BY THE ORADELL RECREATION COMMITTEE AND AS AMENDED FROM TIME TO
TIME.

 

THESE BYLAWS SHALL BE EFFECTIVE AS OF OCTOBER 6, 2008, AND SHALL REPLACE AND SUPERCEDE ANY AND ALL PRIOR BYLAWS. ADOPTED AS OF THIS 6TH DAY OF OCTOBER 2008.
